Summary of Responsibilities:
We are looking for an experienced Contracts Attorney (part-time employee) who will be responsible for the review of the company's contracts, policies and procedures and has a passion for providing exceptional internal and external customer service. In order to successfully manage the contract process, you will interact with our clients, vendors and various departments within our company. Work to be performed within the corporate office (no telecommuting); approximately 15-20 hours per week with daily/weekly work schedule flexibility. Potential for increased responsibilities and hours based upon individual and company performance.
Essential Duties/Responsibilities:
- Draft, review and negotiate dealer agreements, software license agreements, service agreements, statements of work, confidentiality agreements, business associate agreements, and other types of third-party contracts.
- Draft, review and revise internal documents, such as employment contracts, independent contractor agreements, vendor agreements, employee handbook, sales compensation plan and internal policies and procedures.
- Review requests for proposals.
- Correspond with business partners/customers and their attorneys.
- Ability to handle multiple projects with varying deadlines.
- Maintain ISI's corporate organizational documents.
- Provide guidance and support to various internal departments regarding contract interpretation.
- Exercise appropriate business judgment regarding business and legal issues in order to determine and recommend appropriate actions.
- Act as liason between COO and various internal departments.
Educational Requirements:
Juris Doctorate Degree from an accredited law school and current member in good standing of the Illinois bar.
Skill Requirements:
- 5+ years of contract experience required, with emphasis on corporate transactions, software licensing and intellectual property.
- Excellent written and oral communication skills.
- Strong time management skills.
- Proven business acumen, with ability to understand the company's business and anticipate the nature and magnitude of issues that could arise in various settings.
